Terms of Service

1. Who We Are

NIRE HQ Limited ("NIRE", "we", "us", "our") is a company registered in England and Wales (Company No. 17241292), with its registered office at Seven Grange Lane, Pitsford, Northampton, England, NN6 9AP.

We are registered with the Information Commissioner's Office under registration reference ZC167594.

We operate two products accessible at app.nirehq.com:

  • Investability Assessment – a tool for founders and startup teams to assess their investment readiness, receive a scored report, and optionally unlock detailed recommendations.
  • Portfolio Tracker – a fund management dashboard for venture capital fund managers to track portfolio company performance, KPIs, OKRs, and deal flow.

These Terms of Service ("Terms") govern your use of both products. By using either product you agree to be bound by these Terms.


2. Definitions

3. Using the Investability Assessment (Founder Terms)

3.1 Who Can Use the Assessment

The Assessment is open to any person completing it on behalf of a company or startup. You do not need to create an account. We identify your Assessment using a secure token linked to your email address.

You confirm that:

  • you are completing the Assessment on behalf of the company named in the intake form;
  • the information you provide is accurate to the best of your knowledge; and
  • you are at least 18 years old.

3.2 Free Report

After completing the Assessment, you receive a Free Report at no charge. The Free Report includes your overall investability score, a confidence band, and limited recommendations.

3.3 Full Report – Pricing

You may unlock the Full Report for a one-off payment. This is a single transactional purchase, not a subscription. No recurring charges will be applied.

The Full Report is currently available at an introductory price of £49.99 plus VAT at the current UK rate. This introductory price is subject to change. The price applicable to your purchase is the price displayed at the point of checkout at the time of payment.

The Full Report includes:

  • detailed per-dimension scores and confidence ratings;
  • priority-ranked recommendations with specific actions;
  • a downloadable PDF version of your report.

Payment is processed by Stripe. NIRE does not store your card details. By making a payment you also agree to Stripe's Terms of Service.

3.4 Refunds

Because the Full Report is delivered digitally and unlocked immediately upon payment confirmation, we do not offer refunds once the Full Report has been unlocked. If you experience a technical failure that prevents you accessing the report after payment, contact us at legal@nirehq.com and we will resolve the issue or issue a full refund at our discretion.

3.5 What the Assessment Score Means

NIRE's investability scores are advisory indicators only. They reflect how well your company's current profile aligns with common investor evaluation frameworks. They are:

  • not financial advice within the meaning of the Financial Services and Markets Act 2000;
  • not a guarantee of investment readiness, fundraising success, or any outcome;
  • not an audit or verification of the information you provide.

You make your own commercial and financial decisions. NIRE accepts no responsibility for decisions made in reliance on your Assessment score or report.

3.6 Founder Discoverability (Optional)

Within your report, you may opt in to VC Discoverability. If you opt in, your company name and selected Assessment summary data (score, dimension breakdown, key strengths) become visible to Fund Managers using the Portfolio Tracker who are searching for deal flow.

This opt-in is:

  • entirely voluntary – the Full Report is available without opting in;
  • revocable – you can withdraw discoverability at any time from your report page, after which your data is removed from Fund Manager search results within 24 hours.

Your full Assessment answers are never shared with Fund Managers, even when you opt in. Only the summary data listed above is visible.


4. Using the Portfolio Tracker (Fund Manager Terms)

4.1 Account Registration

Fund Managers access the Portfolio Tracker by invitation from NIRE or another Fund Manager within their organisation. You are responsible for maintaining the security of your account credentials and any multi-factor authentication devices.

4.2 Subscription Plans and Pricing

Access to the Portfolio Tracker requires an active Subscription. Two plans are available:

  • Monthly plan: £499 per month plus VAT at the current UK rate, billed monthly.
  • Annual plan: £4,999 per year plus VAT at the current UK rate, billed annually.

All prices are exclusive of VAT. VAT will be added at the current UK rate at checkout. A VAT invoice will be issued for each payment. VAT registration number: GB 521 0400 63.

Subscriptions cover unlimited users within your organisation. There are no per-seat charges.

NIRE reserves the right to change Subscription pricing. Any price changes will be communicated with at least 30 days' notice before they take effect. Changes will not affect your current billing cycle and will apply from the next renewal date.

4.3 Billing and Auto-Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand.

For annual Subscriptions, NIRE will send a renewal reminder by email at least 30 days before the renewal date, to the email address associated with your account.

Payment is processed by Stripe. NIRE does not store your card details. By subscribing you also agree to Stripe's Terms of Service.

4.4 Cancellation

You may cancel your Subscription at any time.

  • Monthly plan: Cancellation takes effect at the end of the current monthly billing period. You will retain access to the Portfolio Tracker until that date. No further payments will be taken after cancellation.
  • Annual plan: Cancellation takes effect at the end of the current annual billing period. You will retain access until that date. No further payments will be taken after cancellation.

To cancel, contact us at legal@nirehq.com or use the cancellation option within your account settings.

4.5 Refunds

Subscription payments are non-refundable. If you cancel part-way through a billing period, you will retain access until the end of that period but no refund will be issued for the unused portion.

If you experience a technical failure that prevents access to the service, contact us at legal@nirehq.com and we will investigate and resolve the issue promptly.

4.6 Invited Users

Fund Managers may invite colleagues (other fund managers, analysts, LPs) and portfolio company contacts. You are responsible for:

  • ensuring invited users are authorised to access the data shared with them;
  • revoking access promptly when a user should no longer have it; and
  • the conduct of all users you invite.

4.7 Portfolio Company Data

Data about portfolio companies, KPIs, OKRs, financial figures, and notes is entered by you or your invitees. NIRE provides the storage and presentation layer. You are responsible for ensuring you have the necessary rights, consents, and agreements to store that data with us.

4.8 Your Regulatory Compliance

You are responsible for your own compliance with all applicable laws and regulations governing your investment activities, including obligations to your limited partners, the Financial Conduct Authority, and any other relevant regulatory body. NIRE does not provide legal, financial, tax, or regulatory advice. The Portfolio Tracker is a data management tool, not a regulated service.

4.9 Data Accuracy

NIRE presents data as you and your invitees enter it. We do not verify the accuracy of portfolio data. Fund Managers are responsible for the accuracy and completeness of data entered into the platform.


5. Acceptable Use

You agree not to:

  • use either product for any unlawful purpose or in a way that violates these Terms;
  • attempt to access data belonging to another organisation, user, or Assessment;
  • reverse-engineer, scrape, or attempt to extract data from the platform by automated means;
  • use the Assessment to generate reports for third parties as a commercial service without our written permission;
  • submit false or misleading information in the Assessment or on your company profile.

6. Intellectual Property

6.1 Our IP

The NIRE platform, brand, scoring methodology, recommendation templates, and all software are owned by NIRE HQ Limited. You may not copy, reproduce, or distribute any part of our platform without our written consent.

6.2 Your Data

You retain ownership of the data you submit. By submitting data, you grant NIRE a limited licence to store, process, and display that data to provide the service described in these Terms. We do not sell your data to third parties.


7. Availability and Changes to the Service

We aim to maintain high availability but do not guarantee uninterrupted access. We may update, change, or discontinue features with reasonable notice where practicable. We will give at least 30 days' notice before discontinuing a paid feature in a way that would materially affect your access to a service you have already paid for.


8. Limitation of Liability

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability which cannot be lawfully limited or excluded under applicable law.

Subject to the above, and to the fullest extent permitted by law:

  • NIRE's total liability to you for any claim arising from or related to these Terms or the service is limited to the amount you paid to NIRE in the 12 months preceding the claim;
  • NIRE is not liable for indirect, consequential, or special losses, including loss of profit, loss of business, or loss of data.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify authenticated users by email with at least 14 days' notice. Continued use of the service after the effective date of updated Terms constitutes acceptance. If you do not accept the updated Terms, you may close your account.


10. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you have a complaint, please contact us first at legal@nirehq.com. We will try to resolve complaints within 14 business days.
